Terms & Conditions

Effective Date: October 26, 2026

Contractual Preamble

These Terms & Conditions ("Terms") govern the provision of software architecture and IT consulting services by Applied Digital Solutions LLC ("Company") to the client ("Client"). By requesting a consultation, purchasing an architecture package, or executing a consulting agreement, Client agrees to be bound by these Terms.

1. Scope of Consulting Services

Applied Digital Solutions LLC provides IT consulting and software architecture services only. The Company is an independent technology advisory firm and is not a financial institution, bank, payment processor, money transmitter, lender, brokerage, or investment firm. Under no circumstances does the Company provide legal, tax, regulated financial, or fiduciary services. All architectural designs, integration roadmaps, and technical specifications are advisory software engineering deliverables.

2. Payments and Pricing

Services are provided under fixed-price packages or mutually executed statements of work. Fixed-price tiers—including Architecture Assessment ($500), Technical Architecture Blueprint ($1,500), FinTech Product Architecture ($3,000), and Complete Enterprise Architecture ($5,000)—are invoiced in accordance with agreed milestone schedules. Invoices are payable upon receipt via approved electronic transfer methods prior to final deliverable transfer.

3. Project Deliverables and Acceptance

The Company shall deliver the agreed technical documentation, system blueprints, and implementation roadmaps as specified in the purchased service scope. Client shall have five (5) business days following deliverable delivery to review and submit written requests for technical adjustments within the original scope. If no written objections are received within this period, deliverables are deemed accepted.

4. Cancellations and Refunds

Engagements may be cancelled by written notice prior to commencement of milestone work. Milestone phases that have been completed and delivered are non-refundable, reflecting the specialized engineering labor expended. Detailed cancellation conditions are governed by our Refund & Cancellation Policy.

5. Intellectual Property

Upon receipt of full payment, Client shall own all proprietary rights and title to the custom architecture documentation, system flowcharts, and technical specifications prepared specifically for Client. The Company retains ownership of pre-existing engineering frameworks, proprietary diagnostic tools, and general architectural methodologies.

6. Confidentiality and Data Protection

Both parties agree to protect all confidential proprietary information disclosed during the engagement with the same degree of care used for their own sensitive materials. The Company shall not disclose Client's technical systems, proprietary codebases, or business plans to any unauthorized third party.

7. Client Responsibilities

Client agrees to provide timely access to necessary technical documentation, system credentials, relevant software repositories, and engineering personnel required for the Company to perform the architecture assessment and deliver specifications.
